(Nasdaq: CTRP) ("Ctrip" or the "Company"), a leading provider of online travel and related services, including accommodation reservation, transportation ticketing, packaged tours and in-destination services, corporate travel management, and other travel-related services, today announced the completion on October 1, 2019 of the secondary offering of an aggregate of 36,000,000 American Depositary Shares ("ADSs"), which included the exercise in full by the underwriters of their option to purchase up to 4,695,648 additional ADSs to cover over-allotment, each representing 0.125 ordinary share of the Company, by its shareholder Baidu Holdings Limited at US$28.00 per ADS. The Company did not issue or sell any ADSs in the offering or receive any proceeds from the sale of the ADSs by the selling shareholder.
Goldman Sachs (Asia) L.L.C. and J.P. Morgan Securities LLC are acting as the joint book-runners for the offering.
